Lisa Wolfe asked for input on the holiday party.  Based on the show of hands she will try to book an early December date.

Dave Spiess will look into a Williams-Grand Canyon railroad trip for sometime between late September  and mid-October.

As of January 1, 1996, the Arizona Revised Statutes now require that  a number of specified records be kept by or on behalf of an Arizona Corporation.  Any records not maintained in written form (example: computer stored) must be capable of being converted into written form within a reasonable time.

The following written records must be kept:

  • Minutes of all meetings of the board of directors and shareholders, a record of all actions taken by them without a meeting, and a record of all actions taken by committees in place of the board of directors.  A.R.S. § 10-1601(A).

  • Appropriate accounting records. A.R.S. § 10-1601(B).

  • Shareholder's record, listing names and addresses of shareholders and numbers of shares owned by each class, alphabetically by class of shares A.R.S. § 10-1601(C).

  • Articles of incorporation as amended or restated to date. A.R.S. § 10-1601(E)(1).

  • Bylaws or restated bylaws as amended to date. A.R.S. § 10-1601(E)(2).

  • Any resolutions of board of directors creating classes or series of stock and fixing rights and preferences, if shares of those classes and series are outstanding.  A.R.S. § 10-1601(E)(3).

  • Minutes and records of shareholders' meetings and actions for past three years.  A.R.S. § 10-1601(E0(4).

Tired of the breakfast food already?  We were promised a variety when we moved to this venue.  The board will look into it.

  • Mark Howard- Visited New Orleans and saw the devastation

  • Bill LaLonde - Took real estate update exam

  • Amy Ahrensdorf - Did an iron chef competition and her team won

  • Keith Miller- His wife went to India and came back with many stories

  • Bob Uber- Going to Ecuador to visit his son

  • Don Ellis - Took a trip to the Chec Republic.  Had a private tour.  It was interesting and beautiful.

  • Joe Zingale - Booked a trip to Hawaii to see the active Volcano.  2 weeks before he got there it stopped.

  • Jim Bache - His plane keeps getting more and more expensive to maintain.  Ride anyone? 

  • Fred Vandervort - Too many doctor appointments

  • Steve Chilton - Got his hot tea this morning - This made his summer. 

  • Sandro Menasci - Just trying not to think

  • Randy Clark- No time for vacation

  • Robert Busch - This is his busy time of year. Jealous of the vacations mentioned.

  • Carole Weishaar - Playing doctor for mother and husband.  Got another award with a paid trip to Beverly Hills . She came in 2nd again.  Always the bridesmaid never the bride.

  • Lin Schmelzer - Went to see her sister in Michigan 

  • Greg Stewart -Went to Canada where he endured soaking wet humidity. Came back to our 3-digit heat and found it refreshing.  Don't get him started on the price of alcohol in Canada!
     


Main Speaker

Dave Spiess was today's main speaker.  His company, Select Security Systems, is a full service alarm company.  They are 95% commercial.  They have been extremely busy for the last two years.  He had to hire three more crews just to keep up.  Growth is good but it has added to his stress.

He needed to find a way to reduce his stress and neither alcohol nor mindless television watching were the answer for him.  He was intrigued by the answers to last week's Question of Day about coping with stress.   

How much time per week do you spend on hobbies?  Dave got so stressed that he went through a period where he didn't want to be in business.  He needed a hobby that gave him time to himself.  It is good for the psyche and helped him want to work again. 

Lately he has spent most of his free time doing photography.  He likes to get outdoors and take hikes with his camera.  He also enjoys reading, scuba diving, traveling. 

Mini-breaks, frequent 3-day weekends do wonders for his mental health.  To accommodate this he is trying new work schedules for his office.  They are working 4-9's and 4 on Friday.  This new schedule has actually increased productivity.  He had to train the customers but now they are OK with it. 

Dave urges you to take something you enjoy doing and make the time to do it.

  • Lisa Wolfe - My horses

  • Mark Howard - Used to be tennis.  Now he enjoys golf. 

  • Sandro Menasci - Tennis, photography, video

  • Randy Clark - Music

  • Keith Miller - Something non-vegetative for one hour per day can he very refreshing

  • Greg Stewart - The old west and cowboys

  • Carole- We have technology-free Sundays. Yoga, jewelry making

  • Joe Zingale - I only wear a watch at work.  Freedom from a schedule puts me in a "happy place".
